By accessing or using CallFlow's AI voice agent services ("Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("you", "your", "Customer") and Serverlys LLC, doing business as CallFlow ("CallFlow", "we", "us", "our").
If you are using the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.
CallFlow is a service provider that delivers AI-powered voice agent solutions to businesses. Our Services include, but are not limited to:
We provide these Services on a subscription and usage basis. You are purchasing access to our platform and paying for the resources consumed, including voice agent minutes, phone numbers, and API calls, as outlined in your selected plan.
To access the Services, you must create an account. By registering, you agree to:
You must be at least 18 years of age or have the legal authority to enter into these Terms on behalf of your organization. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
CallFlow operates on a usage-based pricing model. Service fees are determined by your selected plan and actual usage of the platform. Usage is measured by, but not limited to:
Current pricing is available on our Pricing page. You are responsible for monitoring your own usage. We provide usage dashboards and alerts, but it is your responsibility to manage consumption within your budget.
Your subscription plan fee is billed in advance on a monthly or annual basis, depending on your selected billing cycle. Usage-based charges that exceed your plan's included allocation are calculated at the end of each billing period and charged in arrears. All charges are processed through Stripe. Your payment information is handled securely by Stripe and is never stored on our servers.
All fees are non-refundable unless otherwise specified in writing or required by applicable law. This includes subscription fees, usage charges, and any one-time setup fees. Partial-month usage is not prorated upon cancellation.
We reserve the right to modify our pricing at any time. We will provide at least 30 days' advance notice of any pricing changes via email or through the Services. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
If payment fails or your account becomes past due, we will notify you and provide a reasonable grace period (typically 7 days) to resolve the issue. If payment is not received within the grace period, we reserve the right to suspend or terminate your access to the Services. Suspended accounts may incur reactivation fees. We are not liable for any loss of data, calls, or business resulting from account suspension due to non-payment.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services to:
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including without limitation suspending or terminating the offender's account immediately and without prior notice, and reporting such violations to law enforcement authorities.
Plain-language summary. You are responsible for how your AI agent contacts people: getting consent before recording, following calling-consent and do-not-call rules, telling callers they are speaking with an AI where the law requires it, and never using someone else's voice without written permission. Sections 6 and 7 and Addendum A set out exactly what that means. The full terms below control.
You are the party initiating or answering calls through the Services. As between you and CallFlow, you are solely responsible for the lawfulness of every call, message and recording made using your account, and for obtaining and documenting any consent the law requires. This section and Addendum A are material terms of this agreement.
Federal law and some states permit recording with the consent of one party to the call. Other states require the consent of every party. Where any participant is located in an all-party consent jurisdiction, or where you cannot reliably determine a caller's location, you must obtain and be able to evidence the consent of all parties before recording, and you must disclose the recording at the start of the call where disclosure is required. You are responsible for configuring your agent's greeting to deliver that disclosure.
A synthetic or cloned voice may be treated as an "artificial or prerecorded voice" under the Telephone Consumer Protection Act and under a growing number of state AI-disclosure laws. You must configure your agent to identify the business on whose behalf it is calling, state the purpose of the call, and disclose that the voice is AI-generated wherever that disclosure is required. Regulatory expectations in this area are changing; keeping your configuration current is your responsibility.
If you use the Services to place outbound calls or send messages, you must:
You must not use the Services to call emergency lines (including 911), hospital emergency or patient-room numbers, physician or health-care facility paging services, or any number where an automated call could interfere with emergency response or patient care.
Voice cloning is offered only for voices you are entitled to use. You represent and warrant that you hold the documented, informed, written consent of any individual whose voice you submit, that the individual is an adult, and that the consent covers the uses you intend. You must not submit or replicate the voice of a public figure, a celebrity, or any person who has not given that consent. We may require evidence of consent and may suspend voice cloning on your account without notice if we believe this clause has been breached.
Unless we have agreed otherwise in a signed writing, you must not configure your agent to solicit, and must not submit to the Services: protected health information subject to HIPAA (unless a Business Associate Agreement is in force between us); full payment card numbers or other cardholder data subject to PCI DSS; government identification numbers; biometric identifiers other than a voice sample submitted under section 6.5; or information about children under 16.
The Services are not designed for, and must not be relied upon in, situations where failure or delay could lead to death, personal injury, or serious environmental or property damage. That includes emergency dispatch, clinical triage or diagnosis, medication instructions, crisis or suicide-prevention lines, and the operation of vehicles, aircraft, or life-support or safety-critical systems. You must maintain a human fallback for any situation of that kind.
All content, features, functionality, software, technology, designs, trademarks, and documentation associated with the Services are and shall remain the exclusive property of Serverlys LLC and are protected by United States and international intellectual property laws. These Terms grant you no right, title, or interest in the Services except for the limited right to use the Services in accordance with these Terms.
You retain full ownership of all data, content, and materials you provide to or create through the Services, including knowledge base content, system prompts, call recordings, transcripts, and business information ("Your Content"). You grant us a limited, non-exclusive, royalty-free license to use, process, and store Your Content solely for the purpose of providing, maintaining, and improving the Services for you. We will not use Your Content to train AI models or for any purpose other than delivering the Services unless you provide explicit written consent.
We strive to maintain high availability of the Services but do not guarantee uninterrupted, timely, secure, or error-free operation. The Services may be temporarily unavailable due to:
Telephony carriers may block, filter, delay, or fail to deliver calls at their discretion. We are not responsible for any actions or inactions by third-party carriers or service providers. We will make commercially reasonable efforts to restore service promptly following any unplanned outage.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
You agree to defend, indemnify, and hold harmless Serverlys LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party rights, including but not limited to TCPA, GDPR, CCPA, or any call recording or privacy law; (d) any content or data you provide to or transmit through the Services; or (e) any claims by third parties, including callers, arising from the actions or statements of your AI voice agents.
You may cancel your subscription at any time through your account dashboard or by contacting our support team. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until then. No refunds will be issued for the remaining portion of your billing period.
We may suspend or terminate your access to the Services immediately, without prior notice or liability, if: (a) you breach any provision of these Terms; (b) your account is past due for more than 7 days; (c) we are required to do so by law; or (d) we determine, in our sole discretion, that your use of the Services poses a risk to our platform, other users, or third parties.
Upon termination of your account:
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in the State of Florida.
You agree to waive any right to a jury trial and any right to participate in a class action lawsuit or class-wide arbitration. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services and cancel your account before the changes take effect.
This addendum forms part of the Terms. It restates, in operational form, the obligations you accept when you place or receive calls through the Services. Keeping records of each item is your responsibility and is the evidence you will rely on if a complaint is made.
